Your battery system is designed to power critical loads only for maximum backup duration. Covered loads include: lights, outlets, refrigerator, freezer, electronics, internet, and medical devices. HVAC systems and pool pumps are excluded — these high-draw appliances would reduce backup time significantly. To stay comfortable during outages, add a window or portable A/C unit to your plan.
Based on your ESIID, your estimated annual usage is 14,400 kWh/year (~1,200 kWh/month). This was used to size your battery system and, if applicable, your solar array.
The Virtual Power Agreement (VPA) is a performance-based energy services agreement for CenterPoint Energy customers. Upgrid is the sole service provider for all equipment, maintenance, repairs, and insurance under this program. Under the VPA:
Open panel door. Capture full breaker layout with label card visible.
Exterior wall where panel is mounted. Show meter box and utility disconnect.
If a sub-panel exists, open it and capture breakers + label. If none, upload photo of main panel again.
Show the available interior wall space where the battery will be mounted. Capture from floor to ceiling. Include any existing shelving or obstacles.
Stand outside the garage. Capture the full garage door, driveway approach, and any exterior electrical conduit or disconnect visible on the outside wall.
Open attic access hatch. Photograph the opening and interior — show insulation, rafters, and available run space for conduit. Include any existing wiring visible from the access point.
Stand back from home. Capture full south-facing roof. For solar assessment.
Stand at the garage entry door looking in. Capture the full interior — show all four walls, ceiling height, and the location of any existing sub-panel, water heater, or obstructions.

This is a Virtual Power Agreement between you ("Customer") and Texas Battery Solution ("TBS"). Battery term is 20 years. If solar is selected, the solar term is 25 years. TBS will install, own, and maintain all equipment at your property at no upfront cost. You agree to purchase electricity dispatched from the system at a rate of 12¢/kWh (9¢ energy + 3¢ T&D) for the battery. Solar rate begins at 12¢/kWh and is subject to a 2.99% annual escalator beginning in year 2.
Upgrid is the sole service provider under this agreement unless otherwise specified in writing. Upgrid handles all installation, maintenance, equipment repairs, replacements, and insurance on all system components. The homeowner has no maintenance or insurance obligations related to the battery or solar system.
This program is available exclusively to customers served by CenterPoint Energy in the Greater Houston area. Your service address must fall within CenterPoint's delivery zone. TBS will verify your ESIID prior to installation.
The battery system is configured for critical loads only. HVAC systems and pool pumps are not connected to the backup circuit. This is by design — excluding these high-draw appliances maximizes your backup duration during outages. Critical loads include: lights, outlets, refrigerator, freezer, electronics, internet router, and medical devices. To maintain comfort during outages, a window or portable A/C unit is available as an optional add-on at $20/month.
If selected, a window or portable A/C unit will be provided and installed by Upgrid. This unit carries a 20-year equipment and workmanship warranty. Monthly cost is $20, added to your VPA. Upgrid handles all maintenance and service — no cost to the homeowner.
Solar panels are optional and not required to participate. If selected, panels will be sized based on your annual energy usage (ESIID data) and roof assessment at no upfront cost. Solar carries a 25-year equipment and workmanship warranty. The solar rate starts at 12¢/kWh with a 2.99% annual escalator. Upgrid is the sole solar service provider.
Battery agreement term is 20 years. Solar agreement term is 25 years (if applicable). Early termination by Customer prior to year 5 is subject to an early termination fee equal to 12 months of estimated billing. After year 5, early termination fee is 6 months of estimated billing. Transfer to a new homeowner is permitted with TBS approval.
All equipment and workmanship is warranted for the full term of the agreement: 20 years for battery systems and 25 years for solar systems. Warranties cover all equipment defects and workmanship failures. Upgrid is responsible for all warranty repairs and replacements at no cost to the homeowner. Homeowner is responsible for keeping battery area clear and accessible.
The homeowner is not responsible for maintaining, repairing, replacing, or insuring any equipment installed under this agreement. All such responsibilities rest solely with Upgrid as the service provider. Homeowner must provide reasonable access to the system for service visits.
During grid stress events as directed by CenterPoint or ERCOT, TBS / Upgrid may dispatch your battery to provide grid services. You are compensated at the VPP event rate (minimum $0.10/kWh dispatched). Events are infrequent and last 2–4 hours. You retain the right to opt out of individual VPP events via the mobile app.
